Terms of Service for the Stoxia AI Marketplace and Forum

Preamble

MusicGigs SRL provides the general public with www.stoxia.io (“Stoxia website” or “platform”), a pioneering platform for AI products and services. This platform serves as a marketplace for buying and selling AI tools and applications, and a forum for AI enthusiasts to share, discuss, and compete in AI-generated content contests. The forum’s contests are funded by membership fees, which also contribute to the development and maintenance of the platform.

Definitions

“Membership Fee”: A one-time or monthly fee granting exclusive access to the Forum’s contest areas, special webinars, and advanced AI tools.

“Commission”: A commission on sales of AI products and services, or a commission on Membership Fees.

“AI Product”: Includes software, algorithms, datasets, and other digital tools developed using artificial intelligence.

“AI Service”: Encompasses consultancy, custom AI solution development, prompt engineering, and other AI-related professional services.

“Contest”: Monthly competitions in the Forum, focusing on different AI-generated content themes, with progressive cash prizes.

Field of Application

These Terms and Conditions are binding for all users of Stoxia AI, ensuring a secure, fair, and innovative environment. They cover all aspects of transactions, content sharing, and interactions within the AI marketplace and forum.

Description of Services and Products

Selling AI Products and Services: Sellers can list their AI products or services with detailed specifications, user reviews, and ratings. The platform provides a dashboard for tracking sales, customer queries, and performance analytics.

Purchasing AI Products and Services: Buyers can use advanced search filters to find specific AI tools or services, view demos, and access user reviews. The platform guarantees secure transactions.

Participation in the Forum and Contests: The Forum offers a collaborative space for AI enthusiasts. Members can participate in monthly contests, access exclusive AI content, join webinars hosted by AI experts, and engage in community discussions. Contest entries are judged by a panel of AI professionals, with winners featured on the platform’s pages.

Content and Activity

AI Content Posted: Members can upload AI-generated images, videos, articles, and project showcases. Content must be original, ethical, and non-offensive. The platform reserves the right to remove content that violates these guidelines.

License on AI Content Posted granted to us: By uploading content, members grant MusicGigs SRL a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, create derivative works, display, and distribute said content.

AI Content Prohibited: Prohibited content includes anything that infringes on intellectual property, promotes illegal activities, contains hate speech, or violates privacy rights.

Customer’s Representations and Warranties, Release from Third Party Claims

Users represent and warrant that they have the legal right to use and share all AI content they post. They agree to indemnify and hold harmless MusicGigs SRL from any claims, liabilities, damages, losses, and expenses arising from or in any way related to their content.

Payment Methods

The platform supports payments through credit/debit cards and PayPal. All transactions are encrypted and processed through a secure gateway.

Licenses, Fees, Commission, Taxes

This section outlines the financial aspects of transactions on the Music4Gigs AI platform, including the licensing arrangements, fee structures, commission rates, and tax responsibilities.

Licensing of AI Products and Services: When a seller lists an AI product or service on Music4Gigs AI, they grant the platform a limited license to showcase and promote their offerings. This license is non-exclusive and allows MusicGigs SRL to display, advertise, and market the products or services across various channels, including but not limited to the Music4Gigs AI website, social media, and partner networks.

Fee Structure for Sellers and Buyers:

• Sellers: There is no upfront fee for listing AI products or services. However, sellers may be required to maintain a monthly subscription fee to keep their listings active and access advanced seller tools and analytics.
• Buyers: Buyers are not charged any additional fees beyond the listed price of the AI products or services they purchase.

Commission Rates:

• AI Products and Services: MusicGigs SRL charges a commission of 10% on each sale of AI products or services. This commission is deducted from the sale price before the funds are transferred to the seller.
• Membership Fees: A commission rate of 20% is applied to Membership Fees for the Forums. This is to support the administrative costs of running the forums, organizing contests, and maintaining the platform.

Taxes:

Seller’s Responsibility: Sellers are responsible for determining and paying any taxes due on their earnings from sales. MusicGigs SRL will provide statements detailing the amounts earned and commissions deducted, which can be used for tax reporting purposes.

Tax Collection on Sales: Where applicable, MusicGigs SRL will collect sales tax on transactions based on the buyer’s location. The platform will automatically calculate and add the appropriate tax to the sale price.

Membership Fee Taxes: Taxes on Membership Fees, if applicable, are calculated based on the member’s location and are included in the fee charged.

Reporting and Remittance of Taxes: MusicGigs SRL is responsible for remitting taxes collected on sales and Membership Fees to the appropriate tax authorities.

Sellers are required to provide accurate tax information and may be asked to complete relevant tax forms to ensure compliance with tax regulations.

Invoicing and Statements: Sellers will receive monthly statements detailing their sales, commissions deducted, and net earnings. Members will receive an invoice for their Membership Fee.

Changes to Fee and Commission Structure: MusicGigs SRL reserves the right to modify the fee and commission structure. Any changes will be communicated to users at least 30 days in advance, and will only apply to transactions occurring after the effective date of the changes.

Withdrawal of Money: Sellers and contest winners can withdraw their earnings via PayPal. A minimum withdrawal amount of $50 is set, with withdrawals processed within two business days.

Downloading and Risk of Loss, Availability of Files

The platform ensures the availability of purchased files for a minimum of six months post-purchase. Risk of loss passes to the buyer upon download completion.

Liability

MusicGigs SRL is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the platform. Liability is limited to the amount paid by the user in the six months preceding the claim.

Customer Complaint

A dedicated support team handles complaints. Users can submit complaints via email or a support ticket. The platform aims to respond within 48 hours and resolve issues within 14 days.

Termination

Accounts may be terminated for violations of these terms, illegal activities, or at the user’s request. Termination procedures include account deactivation and deletion of associated data.

Miscellaneous

Data Protection: Use of a Customer’s personal information is governed by MusicGigs SRL’s privacy policy, which may be found here.

Special Admonitions for International Use: Should services of MusicGigs SRL (Romania) at the Music4Gigs website be accessed by a Customer outside of Romania, it shall be that Customer’s responsibility to ensure compliance with any local laws to the extent that they do or may apply.

Applicable Law: Romanian law governs exclusively the business relationship between us and the Customer and any dispute of any sort that might arise between the Customer and us out of or in connection with these Terms and Conditions, including their validity, breach or termination of contract.

Place of Jurisdiction: The place of Jurisdiction for all disputes arising from or in connection with the contract shall be Bucharest, Romania. We shall also be entitled to file a claim at the court of the Customer’s place of residence.

Updates and Changes to the Terms and Conditions: We reserve the right to change our Terms and Conditions unilaterally for good reason or if the changes are of advantage solely for you. In case of non-essential clauses, good reason is given if the changes are required for technical matters, new functions or the like. In case of essential clauses, good reason is given if the change is required by law, change of jurisdiction or an obvious mistake. About any such unilateral change we will inform you in advance with a notice period of at least three weeks. If you do not contradict the changes within this notice period, the changes will apply at the given date. In case of other changes to the Terms and Conditions, we will ask you for explicit acceptance.

Severability Clause: If any provision of these Terms and Conditions shall be unlawful, void or unenforceable for any reason, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Refund Policy

If you’ve made a genuine mistake with a download purchase, it’s worth contacting the Uploader/Seller to see if you can exchange the download for another one that you really want. But due to the nature of digital downloads, no refunds will be given once the file has been sent.

Refunds are not granted for services marked as completed by the buyer. Refunds are also not granted for membership fees.

Stoxia is committed to collecting, maintaining, and securing personal information about you under this privacy policy, and applicable laws, rules and regulations. This policy applies to personal information collected by Stoxia online services via its website, email, or other online or downloadable tools that display a link to this policy. This policy does not apply to any website links operated by third parties with whom Stoxia has no affiliation or control.

What is “personal information”?
Personal information is data that identifies or that reasonably can used by MusicGigs SRL to identify an individual. Personal information does not include content a customer or other person uploads to any Stoxia blog or forum for viewing by the public, such as customer comments or online discussions.

How does Stoxia collect personal information online?
Stoxia collects personal information through its online services. Stoxia will collect standard information necessary to register users to its website, and to collect payments users authorize Stoxia to process.

This may include sharing personal information with third parties who provide services to us including payment processors, customer service, shipping services, and statistical analysis. However, Stoxia will not sell, rent, or otherwise distribute your personal information to third parties for purposes not related to our services or otherwise permitted by this Policy.

Sometimes, we may have to retain information for a longer while based on laws or regulations that apply to our business. Where possible, we try to remove unnecessary identifiers from records we may need to keep for periods beyond the original retention period.
